RIGHTSGRID TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the RightsGrid platform,
website, and related services (collectively, the "Service") operated by RightsGrid LLC, a
Wyoming limited liability company ("RightsGrid," "we," "us," or "our"). By accessing or
using the Service, you agree to be bound by these Terms. If you do not agree, do not use
the Service.

1. DESCRIPTION OF SERVICE

RightsGrid is an autonomous land rights registry platform that allows property owners and
authorized representatives to declare how autonomous systems — including drones, unmanned
aerial vehicles, ground robots, autonomous vehicles, sensors, and related technologies —
may or may not interact with their privately owned land ("Rights Declaration").
The Service enables users to:
(a) Search for property addresses and check registry status;
(b) Create, submit, and manage Rights Declarations for properties they own or are
authorized to act on behalf of;
(c) Receive a Rights Certificate associated with their declared preferences;
(d) Complete a Property Profile that may surface potential future autonomy-related
opportunities relevant to the user's land; and
(e) Access educational and informational resources about autonomous systems and land rights.
RightsGrid is a declaratory registry service only. We do not facilitate, broker, or
guarantee any transaction, access arrangement, operator engagement, or economic outcome
between property owners and any operator, company, or autonomous system.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Eligibility. You must be at least 18 years of age to use the Service. By using the
Service, you represent and warrant that you meet this requirement.
2.2 Account. To access certain features of the Service, you must create an account. You
agree to provide accurate, complete, and current information during registration and to
update your information as necessary.
2.3 Account Security. You are responsible for maintaining the confidentiality of your
account credentials and for all activity that occurs under your account. You agree to
notify us immediately of any unauthorized use of your account.
2.4 One Account Per User. You may not create multiple accounts or share accounts.
RightsGrid reserves the right to terminate duplicate or fraudulent accounts.

3. AUTHORITY TO DECLARE RIGHTS

3.1 Self-Attestation. By submitting a Rights Declaration for a property, you represent and
warrant that:
(a) You are the legal owner of the property, or
(b) You are an authorized representative acting on behalf of the legal owner with
documented authority to make declarations on their behalf; and
(c) The information you provide about the property is accurate and truthful to the best
of your knowledge.
3.2 No Verification of Ownership. RightsGrid does not independently verify property
ownership. Your declaration is self-attested. RightsGrid is not responsible for false or
fraudulent declarations submitted by third parties.
3.3 Disputes. In the event of a dispute between two or more parties claiming authority
over a property, RightsGrid may, at its sole discretion, suspend visibility of the
disputed declaration pending resolution, require additional documentation, or remove a
declaration from the public registry. RightsGrid has no obligation to adjudicate ownership
disputes and may refer disputes to appropriate legal authorities.
3.4 Authorized Representatives and Agents. If you are submitting a declaration on behalf
of a property owner as an authorized human representative or AI agent, you must ensure
that: (a) you have documented authority to act; (b) the property owner has been notified
of the declaration; and (c) the declaration reflects the property owner's actual
preferences. RightsGrid provides a draft preparation and owner-review workflow for this
purpose. Declarations submitted without appropriate owner authorization are a violation of
these Terms.

4. RIGHTS DECLARATIONS AND CERTIFICATES

4.1 Nature of Declaration. A Rights Declaration submitted to RightsGrid is a statement of
the owner's declared preferences regarding autonomous access to their land. It is not a
legally binding contract with any third party, not a recorded deed or easement, not a
government-issued permit or prohibition, and not a guarantee of any legal enforceability
under applicable local, state, or federal law.
4.2 Informational Purpose. Rights Declarations and Rights Certificates are intended to
communicate owner preferences in a structured format. RightsGrid makes no representation
that any Rights Declaration or Certificate will be recognized, honored, or have legal
effect in any jurisdiction or in any dispute with any third party, including operators of
autonomous systems.
4.3 No Legal Advice. Nothing in the Service constitutes legal advice. RightsGrid strongly
encourages users to consult qualified legal counsel regarding their property rights and any
applicable local, state, or federal laws governing autonomous systems, airspace, trespass,
easements, or land use.
4.4 Certificate Issuance. Upon completion of a Rights Declaration and acceptance of these
Terms, RightsGrid will issue a Rights Certificate bearing a unique certificate number,
property address, issue date, and global stance designation. Certificates are records of
your declared preferences at the time of issuance and do not automatically update if you
subsequently modify your Rights Declaration.
4.5 Declaration Updates. You may update your Rights Declaration at any time through your
account. Updated declarations supersede prior declarations as the current record of your
preferences, though prior certificate records will be retained in the audit history.

5. PROPERTY PROFILES AND OPPORTUNITY SIGNALS

5.1 Optional Profile Completion. The Service offers an optional Property Profile feature
that allows users to provide additional structured information about their property,
including access preferences, infrastructure characteristics, seasonality, and monetization
interest signals.
5.2 No Guarantee of Opportunity. Completing a Property Profile does not guarantee that any
operator, company, or autonomous system will contact you, engage with your property, or
offer any economic arrangement. The profile is intended to help make your property's
preferences and characteristics more legible in a structured format. RightsGrid makes no
representation or warranty regarding future operator demand, market conditions, or economic
outcomes.
5.3 Monetization Interest Signal. Any monetization interest or preference you indicate in
your profile is a declared preference only and does not constitute a contractual offer,
binding commitment, or enforceable agreement with any third party.

6. ACCEPTABLE USE

6.1 Permitted Use. You may use the Service only for lawful purposes and in accordance with
these Terms. You agree to use the Service only to:
(a) Register and manage Rights Declarations for properties you own or are authorized
to act upon;
(b) Search the public registry for property status information;
(c) Access educational and informational content; and
(d) Communicate with RightsGrid support.
6.2 Prohibited Conduct. You agree not to:
(a) Submit false, fraudulent, or misleading declarations or property information;
(b) Register properties you do not own or are not authorized to act on behalf of;
(c) Use the Service to scrape, harvest, or collect data for commercial purposes
without express written authorization from RightsGrid;
(d) Attempt to gain unauthorized access to any portion of the Service or any other
systems or networks connected to the Service;
(e) Interfere with the proper operation of the Service or circumvent any security
features;
(f) Use automated systems, bots, or scripts to access the Service without prior
written authorization from RightsGrid, except for properly authorized agents
acting within documented operator or API partner agreements;
(g) Impersonate another person, property owner, or entity;
(h) Use the Service in any manner that violates applicable law; or
(i) Facilitate or assist any third party in doing any of the above.
6.3 Operator Access. Parties seeking to use RightsGrid data or API services for commercial
operations or autonomous system routing must obtain a separate operator or partner
agreement from RightsGrid. Public access to registry data is intentionally limited and
does not include per-category rights details, conditions, monetization terms, or owner
identity.

7. DATA, PRIVACY, AND INFORMATION HANDLING

7.1 Privacy Policy. Your use of the Service is also governed by our Privacy Policy,
available at https://rightsgrid.tech/privacy, which is incorporated into these Terms by
reference.
7.2 Public vs. Protected Data. The following data is treated as public registry data and
may be visible to any user or authorized system:
- Whether a property address is registered in the RightsGrid registry;
- The global stance designation (allow / restrict / charge for access) associated
with a certificate, where the certificate has been designated as public by the owner;
- The certificate number and issue date.
The following data is protected and accessible only to authenticated property owners,
authorized representatives, and (where separately agreed) authorized operator partners:
- Per-category rights details and stances;
- Conditions, operating hours, and safety specifications;
- Monetization preferences and terms;
- Property Profile details;
- Owner identity and contact information.
7.3 User Content. You retain ownership of the information you submit to the Service
("User Content"). By submitting User Content, you grant RightsGrid a non-exclusive,
worldwide, royalty-free license to store, process, display, and use your User Content to
provide and improve the Service, generate anonymized and aggregated statistics, and fulfill
our obligations under these Terms. This license does not permit RightsGrid to sell your
individual property data or personally identifiable information to third parties without
your consent.
7.4 Aggregated Data. RightsGrid may use anonymized and aggregated data derived from the
registry — such as total property counts, geographic distribution, and stance distribution
— for research, product development, partner reporting, and public communications. Such
aggregated data will not identify individual users or properties.

8. INTELLECTUAL PROPERTY

8.1 RightsGrid IP. The Service, including its design, software, platform architecture,
rights taxonomy, scoring methodology, and all associated materials, is owned by TerraSync IP LLC
and protected by applicable copyright, trademark, and other intellectual property laws. You
may not reproduce, modify, distribute, or create derivative works of any part of the
Service without our prior written consent.
8.2 Trademarks. "RightsGrid" and associated marks, logos, and trade dress are trademarks
of TerraSync IP LLC. All other trademarks referenced in the Service are the property of their
respective owners.
8.3 Feedback. If you provide RightsGrid with any feedback, suggestions, or ideas regarding
the Service ("Feedback"), you grant RightsGrid an irrevocable, non-exclusive, royalty-free
license to use, incorporate, and exploit such Feedback in any manner without obligation
to you.

9. DISCLAIMERS

9.1 As-Is Service. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES
OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2 No Legal Effect Warranty. RIGHTSGRID DOES NOT WARRANT THAT ANY RIGHTS DECLARATION,
RIGHTS CERTIFICATE, OR PROPERTY PROFILE WILL HAVE ANY LEGAL EFFECT, BE ENFORCEABLE IN
ANY JURISDICTION, OR BE RECOGNIZED BY ANY OPERATOR, REGULATOR, COURT, OR GOVERNMENT
AUTHORITY.
9.3 No Opportunity Warranty. RIGHTSGRID DOES NOT WARRANT THAT COMPLETING A PROPERTY
PROFILE WILL RESULT IN ANY OPERATOR CONTACT, ECONOMIC ARRANGEMENT, OR COMMERCIAL
OPPORTUNITY OF ANY KIND.
9.4 Accuracy. RIGHTSGRID DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS
OF ANY INFORMATION IN THE REGISTRY, INCLUDING DECLARATIONS SUBMITTED BY THIRD PARTIES.
9.5 Availability. RIGHTSGRID DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED,
ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. LIMITATION OF LIABILITY

10.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIGHTSGRID AND ITS OFFICERS,
DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT
LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING
OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF
RIGHTSGRID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 RIGHTSGRID'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE
TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO
RIGHTSGRID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS
($100.00 USD).
10.3 Some jurisdictions do not allow the exclusion or limitation of certain damages. In
such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless RightsGrid and its officers, directors,
employees, contractors, agents, licensors, and suppliers from and against any and all
claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees
(including reasonable attorneys' fees) arising out of or relating to:
(a) Your violation of these Terms;
(b) Your use of the Service;
(c) Any Rights Declaration or Property Profile you submit, including any false,
fraudulent, or unauthorized declaration;
(d) Your violation of any third-party right, including any intellectual property or
privacy right; or
(e) Any claim that your User Content caused damage to a third party.

12. THIRD-PARTY SERVICES AND LINKS

The Service may contain links to third-party websites, tools, or services. RightsGrid does
not endorse and is not responsible for the content, practices, or terms of any third-party
services. Your use of third-party services is governed by their respective terms and
privacy policies.

13. MODIFICATIONS TO THE SERVICE AND TERMS

13.1 Service Changes. RightsGrid reserves the right to modify, suspend, or discontinue the
Service or any part thereof at any time without notice or liability to you.
13.2 Terms Changes. We may update these Terms from time to time. When we do, we will
update the version number and effective date at the top of this document and, where
material changes are made, provide notice through the Service or by email. Your continued
use of the Service after the effective date of any updated Terms constitutes your
acceptance of the updated Terms.

14. TERMINATION
────────────────────────────────────────────────────────────────────────
14.1 By You. You may stop using the Service at any time. To request deletion of your
account and associated data, contact us at the address provided in Section 17.
14.2 By RightsGrid. RightsGrid may suspend or terminate your account and access to the
Service at any time, with or without cause, and with or without notice, including but not
limited to if we believe you have violated these Terms.
14.3 Effect of Termination. Upon termination, your right to access the Service ceases
immediately. Sections 4.1, 7.3, 8, 9, 10, 11, 15, and 16 shall survive termination.

15. GOVERNING LAW AND DISPUTE RESOLUTION
────────────────────────────────────────────────────────────────────────
15.1 Governing Law. These Terms shall be governed by and construed in accordance with the
laws of the State of Wyoming, without regard to its conflict of law principles. Wyoming
provides a business-friendly legal environment with strong LLC protections under the
Wyoming Limited Liability Company Act (Wyo. Stat. § 17-29-101 et seq.).
15.2 Informal Resolution. Before filing any formal legal claim, you agree to attempt to
resolve the dispute informally by contacting us at the address in Section 17. We will
attempt to resolve the dispute within thirty (30) days of receiving written notice. If we
cannot, either party may pursue formal resolution as set forth below.
15.3 Arbitration. Any dispute, claim, or controversy arising out of or relating to these
Terms or the Service that cannot be resolved informally shall be resolved by binding
arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures
(for claims under $250,000) or its Comprehensive Arbitration Rules and Procedures (for
claims over $250,000), except that either party may seek injunctive or other equitable
relief in a court of competent jurisdiction to prevent actual or threatened infringement
or misappropriation of intellectual property rights. Arbitration shall be conducted in
Cheyenne, Wyoming, or remotely by mutual agreement. The arbitrator's decision shall be
final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.4 Class Action Waiver. YOU AND RIGHTSGRID AGREE THAT EACH MAY BRING CLAIMS AGAINST
THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY
PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. IF THIS WAIVER IS FOUND UNENFORCEABLE,
THEN THE ENTIRETY OF SECTION 15.3 SHALL BE NULL AND VOID.
15.5 Jury Trial Waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY
WAIVES ANY RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF THESE TERMS OR THE SERVICE.
15.6 Statute of Limitations. Any claim arising out of or related to these Terms must be
filed within one (1) year after the cause of action arose, regardless of any statute or
law to the contrary.

16. GENERAL PROVISIONS

16.1 Entire Agreement. These Terms, together with the Privacy Policy, the California
Consumer Privacy Act Addendum (where applicable), and any other agreements expressly
incorporated herein, constitute the entire agreement between you and RightsGrid regarding
the Service and supersede all prior agreements and understandings.
16.2 Severability. If any provision of these Terms is found to be unenforceable or
invalid, that provision will be modified to the minimum extent necessary to make it
enforceable, and the remaining provisions will continue in full force and effect.
16.3 Waiver. RightsGrid's failure to exercise any right or provision of these Terms shall
not constitute a waiver of that right or provision.
16.4 Assignment. You may not assign or transfer these Terms or any rights or obligations
hereunder without RightsGrid's prior written consent. RightsGrid may freely assign these
Terms, including in connection with a merger, acquisition, or sale of assets.
16.5 Force Majeure. RightsGrid shall not be liable for any delay or failure in performance
resulting from causes beyond our reasonable control, including acts of God, war, terrorism,
riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes,
or shortages of transportation, facilities, fuel, energy, labor, or materials.
16.6 Notices. RightsGrid may provide notices to you via email to the address associated
with your account or by posting notices on the Service. You may provide notices to
RightsGrid as specified in Section 17.
16.7 Electronic Communications. By using the Service, you consent to receive electronic
communications from RightsGrid. You agree that any notices, agreements, disclosures, or
other communications that we send electronically satisfy any legal communication
requirements, including that such communications be in writing.

ADDENDUM A — CALIFORNIA CONSUMER PRIVACY ACT (CCPA) ADDENDUM
Effective Date: [DATE]
Applicable to: California Residents
This California Consumer Privacy Act Addendum ("CCPA Addendum") supplements the
RightsGrid Terms of Service and Privacy Policy and applies solely to users who are
residents of the State of California ("California Residents" or "you"). This Addendum is
provided pursuant to the California Consumer Privacy Act of 2018, as amended by the
California Privacy Rights Act of 2020 (collectively, "CCPA/CPRA"), Cal. Civ. Code
§ 1798.100 et seq.
In the event of a conflict between this Addendum and the main Terms or Privacy Policy
with respect to California Residents, this Addendum controls.
A.1 CATEGORIES OF PERSONAL INFORMATION WE COLLECT
RightsGrid collects the following categories of personal information from California
Residents:
Category A — Identifiers: Name, email address, account username, IP address, and
similar identifiers provided during account registration or use of the Service.
Category B — Personal Information (Cal. Civ. Code § 1798.80): Name and email address
(overlaps with Category A).
Category C — Internet or Electronic Network Activity: Browsing history on our Service,
search queries, page interaction data, and log files.
Category D — Geolocation Data: Property addresses and geographic coordinates submitted
as part of a Rights Declaration, which may be associated with your account. Note: We do
not collect real-time device location data.
Category E — Professional or Employment-Related Information: None collected by default.
Category F — Inferences: We may derive preferences, interests, or characteristics from
the information you provide (e.g., property type, access preferences, monetization
interest signals).
We do not collect Social Security numbers, financial account numbers, health information,
or biometric data.
A.2 PURPOSES FOR WHICH WE USE PERSONAL INFORMATION
We use the categories of personal information listed above for the following business
purposes:
(a) To provide, operate, and improve the Service;
(b) To create and manage your account;
(c) To process and store Rights Declarations and Rights Certificates;
(d) To generate anonymized and aggregated registry statistics;
(e) To communicate with you regarding your account, support requests, and Service
updates;
(f) To detect and prevent fraud, abuse, or security incidents; and
(g) To comply with applicable legal obligations.
A.3 DISCLOSURE OF PERSONAL INFORMATION
We do not sell your personal information as defined under the CCPA/CPRA.
We do not share your personal information with third parties for cross-context behavioral
advertising.
We may disclose personal information to the following categories of third parties for
business purposes:
- Service providers and infrastructure vendors who process data on our behalf under
written data processing agreements (e.g., cloud hosting, authentication, analytics);
- Legal and compliance advisors;
- Law enforcement or government authorities when required by law or to protect our
rights; and
- Successor entities in connection with a merger, acquisition, or sale of assets,
subject to confidentiality obligations.
We require all service providers to use personal information only to perform services on
our behalf and prohibit them from using or disclosing it for any other purpose.
A.4 RETENTION
We retain personal information for as long as your account is active, as needed to provide
the Service, and as required to comply with legal obligations, resolve disputes, and
enforce our agreements. When personal information is no longer needed, we delete or
anonymize it in accordance with our internal data retention schedule.
A.5 YOUR RIGHTS AS A CALIFORNIA RESIDENT
Subject to verification of your identity and applicable legal exceptions, California
Residents have the following rights under the CCPA/CPRA:
Right to Know. You have the right to request that we disclose: (i) the categories and
specific pieces of personal information we have collected about you; (ii) the categories
of sources from which we collected it; (iii) the business or commercial purpose for
collecting it; and (iv) the categories of third parties with whom we have shared it.
Right to Delete. You have the right to request that we delete personal information we
have collected about you, subject to certain exceptions (e.g., where retention is
required to complete a transaction, comply with law, or fulfill a legal obligation).
Right to Correct. You have the right to request that we correct inaccurate personal
information we maintain about you.
Right to Opt Out of Sale or Sharing. We do not sell or share personal information for
cross-context behavioral advertising. No opt-out is currently required, but we will
update this Addendum if our practices change.
Right to Limit Use of Sensitive Personal Information. We do not use sensitive personal
information beyond what is necessary to provide the Service. No limitation request is
currently required.
Right to Non-Discrimination. We will not discriminate against you for exercising any
of your CCPA/CPRA rights. We will not deny you goods or services, charge you different
prices, or provide a different level of service because you exercised your rights.
A.6 HOW TO SUBMIT A REQUEST
To exercise any of the rights described in Section A.5, California Residents may submit
a verifiable consumer request by:

(select request type: "privacy request" or "data deletion")
We will respond to verifiable consumer requests within 45 days of receipt. If we require
additional time (up to 90 days total), we will notify you of the extension in writing
within the initial 45-day period. We do not charge a fee for processing your request
unless it is excessive, repetitive, or manifestly unfounded.
To verify your identity, we may ask you to provide information that matches what we have
on file for your account. We will not use verification information for any purpose other
than verification.
You may designate an authorized agent to submit a request on your behalf, provided that

A.7 DO NOT TRACK / GLOBAL PRIVACY CONTROL
California law requires us to disclose how we respond to web browser "Do Not Track" (DNT)
signals. We currently do not alter our data collection practices in response to DNT
signals. If California law requires us to honor Global Privacy Control (GPC) signals in
the future, we will update this Addendum accordingly.
